Terms of Service

By creating an account or using the Pendra API, you agree to be bound by these Terms of Service. If you are using Pendra on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

If you do not agree to these terms, you must not use the service.

Pendra provides managed AI inference — including chat completions, embeddings, image generation, and audio transcription — for open-source models, hosted on sovereign UK infrastructure. The service comprises API access, a web-based dashboard for account, key, and worker management, usage analytics, and the Pendra Worker software that lets you run inference on your own GPU hardware while orchestrating through the Pendra control plane.

We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice. We will make commercially reasonable efforts to provide at least 30 days' notice for material changes.

You are responsible for:

• Maintaining the confidentiality of your account credentials, API keys, and worker private keys
• All activity that occurs under your account, API keys, or registered workers
• Revoking compromised API keys or worker keys immediately via the dashboard
• Providing accurate and current registration information

API keys are shown only once at creation; Pendra stores only irreversible hashes and cannot recover lost keys. Worker keypairs use Ed25519, and Pendra holds only the public half — the private key never leaves the worker host. If a worker private key is lost or compromised, you must rotate it and re-register the new public key.

Plan use restrictions

The Free plan is for personal use only — evaluation, learning, hobby projects, and non-commercial experimentation. Use of the Free plan to power any product, service, or workload that is offered to customers, generates revenue, or is operated on behalf of a business or other organisation constitutes commercial use, which requires a Pro plan or above.

Prohibited use

You agree not to use the service to:

• Generate content that is illegal under the laws of England and Wales
• Attempt to extract, reverse-engineer, or copy model weights served through the Pendra API
• Circumvent rate limits, authentication, or other security measures
• Resell API access without a written reseller agreement
• Transmit malware, exploit code, or conduct vulnerability testing without prior written authorisation
• Generate content that facilitates real-world harm, including but not limited to: weapons development, child exploitation, or targeted harassment

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.

Our handling of your data is governed by our Privacy Policy. Key commitments:

• Customer inference data (prompts, completions, embeddings, image and audio inputs) is processed exclusively within the United Kingdom
• We operate a zero-retention policy for inference content — it is held only in worker process memory for the duration of a single request
• We never use your data for model training, fine-tuning, or evaluation
• Pro customers are covered by our standard Data Processing Agreement; Enterprise customers receive a custom DPA and Data Protection Impact Assessment (DPIA) support tailored to their deployment

Pendra is sold on flat-rate plans, not metered tokens. Current pricing is published on the Pendra pricing page and may be updated with at least 30 days' notice for existing customers. All prices are in GBP and exclusive of VAT unless stated otherwise.

Pro plan

Pro is billed monthly in advance via Stripe. Your card is charged automatically on the recurring billing date set at sign-up. There are no per-token charges and no separate invoice — Stripe issues a payment receipt for each billing period.

Enterprise plans

Enterprise pricing is custom-scoped and billed annually in arrears or in advance under the terms of an individually negotiated agreement. Standard payment terms are net-30 unless otherwise agreed in writing.

Non-payment

If a Pro plan payment fails, we will retry the card for up to 14 days before suspending API access. For Enterprise plans, we may suspend access for invoices outstanding more than 30 days past the agreed due date. Service is restored once payment is settled.

We target 99.9% monthly API uptime. Scheduled maintenance windows will be communicated at least 48 hours in advance. Enterprise customers may negotiate formal SLAs with defined remedies.

The service is provided on a commercially reasonable basis. Pendra does not guarantee uninterrupted or error-free operation, though we endeavour to resolve incidents promptly.

You retain all rights to the content you submit to and receive from the API. Pendra claims no ownership over your prompts, completions, or any derivative works.

The models served through Pendra are open-weight and subject to their respective licences (e.g. Llama Community Licence, Apache 2.0, MIT, Qwen Licence, Gemma Terms of Use). You are responsible for complying with applicable model licences for the models you choose to use.

The Pendra name, logo, and brand assets are the property of Pendra AI Ltd and may not be used without written permission.

To the maximum extent permitted by law, Pendra's total liability for any claims arising from or relating to the service shall not exceed the total fees paid by you in the 12 months preceding the claim.

Pendra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under the laws of England and Wales.

You may close your account at any time via the dashboard or by contacting support. Upon closure, we will delete your account data within 30 days, subject to legal retention requirements.

We may terminate or suspend your account immediately for material breach of these terms. Where practicable, we will provide notice and an opportunity to remedy before termination.

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
