Terms of Service
These terms govern your use of the Pendra Cloud platform, APIs, and related services operated by Pendra Cloud Ltd ("Pendra", "we", "us").
1. Acceptance of Terms
By creating an account or using the Pendra API, you agree to be bound by these Terms of Service. If you are using Pendra on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
If you do not agree to these terms, you must not use the service.
2. The Service
Pendra provides managed inference APIs for open-source large language models, hosted entirely on sovereign UK infrastructure. The service includes API access, a web-based dashboard for account and key management, and usage analytics.
We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice. We will make commercially reasonable efforts to provide at least 30 days' notice for material changes.
3. Accounts and API Keys
You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity that occurs under your account or API keys
- Revoking compromised API keys immediately via the dashboard
- Providing accurate and current registration information
API keys are shown only once at creation. Pendra stores only irreversible hashes of your keys and cannot recover lost keys. You must generate a new key if one is lost.
4. Acceptable Use
You agree not to use the service to:
- Generate content that is illegal under the laws of England and Wales
- Attempt to extract, reverse-engineer, or copy model weights
- Circumvent rate limits, authentication, or other security measures
- Resell API access without a written reseller agreement
- Transmit malware, exploit code, or conduct vulnerability testing without prior written authorisation
- Generate content that facilitates real-world harm, including but not limited to: weapons development, child exploitation, or targeted harassment
We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.
5. Data and Privacy
Our handling of your data is governed by our Privacy Policy. Key commitments:
- All data is processed exclusively within the United Kingdom
- We operate a zero-retention policy for inference content (prompts and completions)
- We never use your data for model training or fine-tuning
- We will provide a Data Processing Agreement (DPA) upon request
6. Pricing and Payment
Usage is metered by token count. Current pricing is published on the Pendra website and may be updated with 30 days' notice. All prices are in GBP and exclusive of VAT unless stated otherwise.
Invoices are issued monthly. Payment is due within 14 days of the invoice date. We reserve the right to suspend API access for accounts with outstanding balances exceeding 30 days.
7. Service Level
We target 99.9% monthly API uptime. Scheduled maintenance windows will be communicated at least 48 hours in advance. Enterprise customers may negotiate formal SLAs with defined remedies.
The service is provided on a commercially reasonable basis. Pendra does not guarantee uninterrupted or error-free operation, though we endeavour to resolve incidents promptly.
8. Intellectual Property
You retain all rights to the content you submit to and receive from the API. Pendra claims no ownership over your prompts, completions, or any derivative works.
The models served through Pendra are open-source and subject to their respective licences (e.g. Llama Community Licence, Apache 2.0). You are responsible for complying with applicable model licences.
The Pendra name, logo, and brand assets are the property of Pendra Cloud Ltd and may not be used without written permission.
9. Limitation of Liability
To the maximum extent permitted by law, Pendra's total liability for any claims arising from or relating to the service shall not exceed the total fees paid by you in the 12 months preceding the claim.
Pendra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under the laws of England and Wales.
10. Termination
You may close your account at any time via the dashboard or by contacting support. Upon closure, we will delete your account data within 30 days, subject to legal retention requirements.
We may terminate or suspend your account immediately for material breach of these terms. Where practicable, we will provide notice and an opportunity to remedy before termination.
11. Governing Law
These terms are governed by the laws of England and Wales. Any disputes arising from these terms or the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
